Corporate venture arms invest for two reasons at once

When a bank, insurer or industrial group runs a venture arm, the capital pursues a financial return and a strategic one: access to technology, a commercial partnership, or an early view of something that could disrupt the parent. Both motives are legitimate, and they are not always aligned with the interests of other shareholders.

The practical questions are specific. Does the investment come attached to a commercial agreement, and on what terms? Does the corporate hold a right of first refusal or a veto that could complicate a future sale to one of its competitors? A strategic investor can open doors no financial fund can — and can also narrow the set of buyers who will eventually be willing to acquire the company.
